PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING DISHI ("THE PLATFORM"), YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User," or "Business Owner"), and Dishi ("we," "us," or "our"), concerning your access to and use of the `https://dishi.top` website as well as any other media form, related channel, or mobile application related, linked, or otherwise connected thereto (collectively, the "Platform"). Dishi is a platform operating in the Republic of Kenya.

2. Nature of the Service and Disclaimer of Liability

2.1 Information Aggregation: Dishi is a discovery and review platform. We aggregate publicly available information regarding restaurants, menus, pricing, opening hours, and locations. We do not guarantee the accuracy, completeness, or timeliness of this information. Restaurants may change their prices, menus, or operating hours without notifying us. You acknowledge that relying on this information is strictly at your own risk.

2.2 No Endorsement or Liability for Venues: Dishi does not prepare, sell, or handle any food or beverages. We are not responsible for the quality of food, service, health and safety standards, or any other aspect of the restaurants listed on the Platform. We shall not be liable for any illness, injury, or damages arising from your patronage of any business listed on Dishi.

3. User-Generated Content and Reviews

3.1 Ownership and License: You retain ownership of any reviews, ratings, photos, or other content you submit to the Platform ("User Content"). However, by submitting User Content, you grant Dishi a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display such User Content in any media.

3.2 Content Standards and Defamation: You agree that your reviews will be based on your actual, first-hand experience. You shall not submit content that is false, defamatory, libelous, abusive, obscene, or intended to blackmail or unlawfully harm a business's reputation. Dishi strictly prohibits fake reviews (both positive and negative).

3.3 Right to Remove Content: Dishi reserves the absolute right, in our sole discretion and without notice, to remove, edit, or refuse to publish any User Content that violates these Terms or that we deem inappropriate, legally risky, or harmful to the Platform's integrity.

4. Business Owners and Verification

4.1 Claiming a Business: Business owners may "claim" their listings on Dishi to gain access to management features. You represent and warrant that you are the authorized representative of the business you are claiming.

4.2 Payments and Verification Fees: Certain features, such as expedited verification or premium listings, may require payment via M-Pesa or other supported gateways. All fees paid to Dishi are non-refundable, regardless of whether your business remains active on the Platform or if your account is subsequently suspended for violating these Terms.

4.3 Interaction with Reviewers: Business owners must interact with reviewers professionally. Harassing users who leave negative reviews is strictly prohibited and constitutes grounds for immediate account termination.

5. Intellectual Property Rights

Except for User Content, the Platform and all its source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DISHI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your User Content; (2) use of the Platform; (3) breach of these Terms; or (4) any overt harmful act toward any other user of the Platform or listed business.

8. Governing Law and Dispute Resolution

These Terms and your use of the Platform are governed by and construed in accordance with the laws of the Republic of Kenya. Any legal action or proceeding related to the Platform shall be brought exclusively in the courts located in Nairobi, Kenya.

9. Modifications to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Effective Date" of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates.
